Results of General Meeting and Open Offer

 

Science in Sport plc (AIM: SIS), a leading sports nutrition company that develops, manufactures and markets sports nutrition products for professional athletes and sports enthusiasts, is pleased to announce that, at its General Meeting held at 10.00 a.m. today, all resolutions set out in the Circular dated 14 November 2017 were duly passed.

 

Accordingly, the Company is also pleased to announce that the Open Offer, which closed for acceptances at 11.00 a.m. on 30 November 2017, has raised approximately £0.8 million (before expenses). Valid acceptances have been received in respect of 1,211,365 New Ordinary Shares of 10 pence each, representing a take up of approximately 85.0 per cent of the New Ordinary Shares available under the Open Offer. Qualifying Shareholders who have applied for Offer Shares will receive the full number of Offer Shares applied for by them and those that made an application under the Excess Application Facility will receive 100 per cent of Excess Shares applied for by them.

 

As previously announced, Stephen Moon, Chief Executive Officer of SiS, agreed to purchase 107,143 New Ordinary Shares as part of the Firm Placing. Following admission of the Firm Placing Shares and Offer Shares, Mr Moon will hold 843,456 Ordinary Shares, representing approximately 1.3 per cent of the Company's issued share capital. None of the Directors has taken up their entitlement to subscribe for New Ordinary Shares under the Open Offer.

 

Application has been made for the 20,000,000 Firm Placing Shares and the 1,211,365 Offer Shares to be admitted to trading on AIM, which is expected to take place at 8.00 a.m. on 4 December 2017. Following Admission, the Company's issued share capital will comprise 66,824,821 Ordinary Shares, of which none are held in treasury. Therefore, the total number of voting rights in the Company is 66,824,821, which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
