Directors' Notification of Dealing in Shares

In  compliance  with Section 329 of the Companies Act 1985  and  Chapter  16,
paragraph 13 of the Listing Rules, we hereby advise you that

1.   Sir  Winfried  F.W. Bischoff, the Chairman of Schroders  plc,  exercised
     options  over  195,000 non-voting ordinary shares on 7th April  2000  as
     follows:

     He has retained all the shares.

2.   The Company has been informed that the trustee of the Schroders Employee
     Benefit Trust purchased 202,000 non-voting ordinary shares at a price of
     £10.80  per  share  between 29th March 2000 and  7th  April  2000.   The
     potential beneficiaries of the trust include, among others, Directors of
     Schroders  plc  apart from non-executive Directors, under the  Company's
     Performance Share Plan and Equity Compensation Plan.
