In  compliance  with  Section 329 of the Companies Act 1985  and  Chapter  1,
paragraph  13 of the Listing Rules, we hereby notify you that on  10th  April
2000  the following Directors of Schroders plc acquired a beneficial interest
in  the  number  of non-voting ordinary shares in Schroders plc  set  against
their  respective  names  following  an  appropriation  of  shares  from  the
Schroders  Share  Ownership Scheme 1983 in respect of  the  year  ended  31st
December 1999.

     W.M. Samuel                        716
     A.F. Sykes                         716

Also,  Mr.  W.M. Samuel exercised an option over 33,750 non-voting shares  on
17th  April 2000 at a price of £5.94667 per share.  He has retained  all  the
shares.
