paragraph 13 of the Listing Rules we hereby notify that on 22nd April 2002 the
following directors of Schroders plc were granted options over the numbers of
non-voting ordinary shares in Schroders plc set against their respective names
under the Rules of the Company's Share Option Plan at an exercise price of £8.00
per share.

J.A.Troiano                     156,250



The awards were granted for no consideration, are not normally exercisable for
three years, and then only if applicable performance targets have been met.
