In compliance with Chapter 16.13 of the Listing Rules and Section 329 of the
Companies Act 1985 we hereby advise you that the Company was informed today
that:


  • On 4th April 2002, Mr N.E.H. Ferguson, a non-executive Director, sold
    5,117 non-voting ordinary shares in Schroders plc, and his wife, Mrs M.
    Ferguson sold 1,513 non-voting ordinary shares, both sales at a price of
    828p per share.

  • On 8th April 2002 the Schroders Employee Benefit Trust sold 218,000
    non-voting ordinary shares at a price of 826.5p per share. The potential
    beneficiaries of the trust under the Company's share schemes include, among
    others, Directors of Schroders plc. The shares were purchased by the
    Trustees of the Schroders UK Share Ownership Plan (an all-employee share
    plan).

  • Also on 8th April 2002 the following Directors of Schroders plc acquired a
    beneficial interest in the number of non-voting ordinary shares in Schroders
    plc set against their respective names following an appropriation of shares
    from the Schroders UK Share Ownership Plan in respect of the year ended 31st
    December 2001:
