Issue of Ordinary Shares from Treasury

Schroder Oriental Income Fund Limited (the "Company") issued 175,000 Ordinary shares of £0.01 each from treasury at a price of 206.27 pence per share on 8 April 2015. The shares rank pari passu with the existing Ordinary shares in issue.

Following this issue, the Company's issued Ordinary share capital consists of 223,466,574 ordinary shares, and an additional 13,475,000 shares are held in treasury. Accordingly, the total number of voting rights in the Company is 223,466,574.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
