Issue of Ordinary Shares

Schroder Oriental Income Fund Limited (the "Company") has issued 2,675,000 new ordinary shares of £0.01 under its block listing facility as follows: 2,350,000 ordinary shares at a price of 242.42p per share on 3 May 2017, 150,000 ordinary shares at a price of 243p per share on 5 May 2017 and 175,000 ordinary shares at a price of 241.01p per share on 5 May 2017. The new shares rank pari passu with the existing ordinary shares in issue.

Following this issue, the Company's issued share capital consists of 243,398,024 ordinary shares.  No shares are held in treasury. Accordingly, the total number of voting rights in the Company is 243,398,024.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
