In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:

As at 28 February 2007 Henderson TR Pacific Investment Trust plc's capital
consists of 183,118,359 ordinary shares of 5p with voting rights.  The Company
has no shares in Treasury.

Therefore, the total number of voting rights in Henderson TR Pacific Investment
Trust plc is 183,118,359.

The above figure (183,118,359) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Henderson TR Pacific
Investment Trust plc under the FSA's Disclosure and Transparency Rules.
