                              Allotment of Shares


Schroder AsiaPacific Fund plc announces that 22,583 of the Company's warrants
were exercised on 31 January 2005 resulting in the allotment of 22,583 ordinary
shares of 10 pence each on 9 February 2005. Application has been made for such
shares to be admitted to the London Stock Exchange, and to the UK Listing
Authority for such shares to be admitted to the Official List. Following issue
of these shares, the total number of ordinary shares of 10 pence in issue will
be 139,218,088.
