Walker Greenbank PLC 27 January 2003 27th January 2003 Walker Greenbank sells Textile Wallcoverings International Limited Walker Greenbank PLC, the wallcoverings and fabrics group, has agreed the sale of the business of Textile Wallcoverings International Limited ('TWIL'), a distributor of third party wallcoverings based in Georgia USA, and certain of its assets with a book value of £0.8m, to Thybony Wallcoverings International Ltd., a USA based private company, for a consideration of £0.9m. The consideration will be satisfied by an initial cash payment of £0.1m and deferred cash payments of £0.8m, of which £0.7m is receivable within twelve months following completion and the balance over the following two years, subject to the sales of the business. In the current financial year the profits attributable to the business were approximately £0.1m. The proceeds from the sale will allow further development of the Zoffany brand in the USA and will accelerate the reduction in the group's indebtedness. Group Chief Executive David Medcalf said 'The sale forms part of the group's strategy to realise value for its non-core assets and represents excellent value for our shareholders.' The remaining part of the group's USA business that markets the Zoffany, Harlequin and Harris brands is unaffected by this disposal.
