The Award of Shares to Sir Peter Davis

Following the announcement made on 14 March 2003, 1,500,000 restricted ordinary
shares of J Sainsbury plc are now being held for Sir Peter Davis by Stamford
House (Jersey) Limited, the Company's Employee Share Trust. Subject to the
fulfilment of the relevant performance conditions, these shares will be released
to Sir Peter on 31 July 2005. Notification by Sir Peter took place on 27 March
2003.
