The Sage Group plc
Change of External Auditor

The Sage Group plc ("Sage" or the "Company") announces that, following the conclusion of a formal and competitive tender process overseen by the Audit and Risk Committee, the Board intends to appoint KPMG LLP ("KPMG") as external auditor for the financial year ending 30 September 2025. The appointment is subject to shareholder approval at Sage's 2025 Annual General Meeting ("AGM").

Ernst and Young LLP ("EY"), the Company's current external auditor, will continue in its role as external auditor for the financial years ending 30 September 2023 and, subject to shareholder approval at the 2024 AGM, 30 September 2024. Sage would like to thank EY for its significant contribution and service as external auditor.

In accordance with applicable regulations, Sage is required to put the external audit contract out to tender every 10 years. In the 2022 Annual Report it was stated that the Company anticipated conducting a competitive tender process no later than 2024, given EY was initially appointed in 2015.

Further details of the audit tender process and selection criteria will be included in the Company's 2023 Annual Report.
