UPDATE TO TOTAL VOTING RIGHTS

30 March 2007

In conformity with the Disclosure and Transparency Rules, RWS Holdings plc
('RWS' or 'the Company') makes the following notification.

RWS announces that it has issued and allotted a total of 50,000 new ordinary
shares of 5p each ('New Shares') in the Company pursuant to an exercise of
options by a non-employee. Application has been made to the London Stock
Exchange for the New Shares to be admitted to AIM ('Admission'). It is expected
that Admission will occur on 4 April, 2007.

As a result of this exercise of options, the Company's increased share capital
consists of 40,116,049 ordinary shares of 5 pence each with voting rights. No
ordinary shares are held in treasury. Therefore the total number of ordinary
shares in the Company with voting rights is 40,116,049.

The above figure of 40,116,049 ordinary shares may be used by shareholders as
the denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the FSA's Disclosure and Transparency Rules.
