Aortech International Plc ('the Company') announces that, on 22 January 2002, Mr
John Ranieri was granted options over the following ordinary shares:

(a)       40,000 ordinary shares (exercisable only on certain performance 
          criteria relating to the Aortech Group);

(b)       25,000 ordinary shares (exercisable only on certain performance 
          criteria relating to the biomaterials division); and

(c)       25,000 ordinary shares (exercisable only on certain performance 
          criteria relating to the cardiovascular division).

All options are exercisable between 3 and 10 years from grant at £1.54 per
ordinary share.
