Statement re Possible Offer

Real Time Control Plc ('RTC' or the 'Company')

Further to the announcement on 26 October 1999, which indicated the
possibility of an offer for RTC, the Board of RTC has noted the recent rise in
the Company's share price.  The Board announces that it has now received an
approach which may or may not lead to an offer being made for RTC in the
region of 1050 pence per share.  With consideration for the potential impact
of the forthcoming holiday period a further announcement will be made as soon
as practicable.
