                     Change of Directors
                              
Following  the Offer made by NSB Retail Systems PLC  ('NSB')
which was declared wholly unconditional on 21 February 2000,
RTC  announces  the  following  changes  to  its  Board   of
Directors.

Byron Carrell, Chairman, resigned with effect from the Offer
being declared wholly unconditional.

Nikki  Beckett, Alan Hatfield, Ian Martin and Chris Precious
have been appointed with immediate effect.

As  announced  by NSB today, NSB now owns, or  has  received
valid acceptances in respect of the Offer for RTC in respect
of,  more  than 90 per cent. of the RTC Shares to which  the
Offer relates.

Accordingly,  NSB  has announced today  that  it  has  given
notice  to those RTC Shareholders who have not yet  accepted
the  Offer informing them that NSB will compulsorily acquire
their RTC Shares under the provisions of sections 428 to 430
of  the  Companies Act 1985, and that it will apply for  the
cancellation  of RTC's listing on the Official  List  to  be
effective from Wednesday 12 April 2000.
