The Electrocomponents Savings-Related Share Option Scheme

The Company was made aware on 15 March 2002 that The Electrocomponents
Qualifying Employee Share Ownership Trust ('the Trust') established to
facilitate the operation of the Electrocomponents Savings-Related Share Option
Scheme purchased 79,249 shares at 495.5p per share on 15 March 2002 representing
less than 0.1% of the issued share capital of the Company. 90,925 shares are now
held by the Trust, which represents less than 0.1% of the issued share capital
of the Company.

As potential beneficiaries of the Trust, Mr JL Hewitt, Mr I Mason, Mr R Butler
and Mr R A Lawson as Directors of the Company, are considered to have an
interest in the shares held by the Trust.
