NOTIFICATION OF CHANGE IN SHAREHOLDING
OF SUBSTANTIAL SHAREHOLDERS

The Company received notification on 3rd August 2000 in accordance with the
Companies Act 1985 (as amended) that following the recent merger of CGU plc
and Norwich Union plc, that CGNU plc and its subsidiary and affiliated
Companies have a notifiable interest in 22,096,281 ordinary shares of 10 p
each of the Company ('shares') which represents 5.1% of the total issued share
capital of the Company.
