The Company was advised on 2 August 2001 that Mr R A Lawson a Director of the
Company has transferred 31,587 ordinary shares of 10 p each in
Electrocomponents plc to his wife Diana Marian Lawson for nil consideration as
at the 31 July 2001.

Mr Lawson remains the beneficial holder of a total of 338,447 shares.
