NOTICE OF 2008 ANNUAL GENERAL MEETING (WITH PROXY CARD)

The Notice of Annual General Meeting for 2008 includes a resolution to adopt a new set of Articles of Association.  Explanatory notes of principle changes to the Articles of Association are set out in the Notice of Annual General Meeting, and a copy of the new Articles of Association is available for inspection at the Company's registered office.
