Share Price Movement - Possible Refinancing

The Board of Ross Group PLC ('the Company') has noted the
recent  share  price  movement and confirms  that  it  is
currently   negotiating  a  proposal  which  involves   a
refinancing   of   the   Company  including   a   capital
reorganisation  and  a  rights  issue  at  a  significant
discount to the current market price.

A further announcement will be made in due course.
