   Compulsory Acquisition of the Cumulative Preference
                         Shares
                            
As  set out in the circular to shareholders dated 2 March
2000 ('the Circular') the Company hereby gives notice  of
the buyback and subsequent cancellation, with effect from
17th May 2000 of 220,454,545 cumulative Preference Shares
of  £0.01  each  in  the capital of the  Company  for  an
aggregate cash consideration of £300,000 pursuant  to  an
agreement to purchase such shares approved by the members
of  the Company at an extraordinary meeting held on  27th
March 2000 details of which were set out in the Circular.
