ROSS GROUP PLC - CHANGE OF DIRECTORS

Ross Group Plc announces, with regret, the resignation of Trevor Wilkinson as a
Director. He will vacate the post of Deputy Managing Director, which he has held
for nearly two years, on 30th April 2005. The company express it's thanks to Mr
Wilkinson for his contribution during that period.

The Board is pleased to announce the appointment of Philip Elliott as an
executive director with immediate effect. This appointment was sanctioned during
the Board Meeting held on 14th April 2005. Mr Elliott has been an employee of
the Group since 1996 and currently holds the position of Group Financial
Controller.
