                        ROSS GROUP PLC ('THE Company')

                                BOARD CHANGES


Following a meeting of the board of directors of the Company on 7 December
2001 the Company announces the following changes to the board with immediate
effect.

Paul F G Binney, Duncan Hon and Ian Watts have resigned as directors of the
Company. Existing executive directors, Adrian C C Ma and Michael A B Binney,
will become managing director and finance director respectively. Paul Binney,
formerly the managing director will become a non-executive director. Alain A
Eman, who is also an executive director of The Grande Holdings Limited in Hong
Kong and who specialises in banking and international finance, will become an
executive director of the Company.
