                         EXECUTIVE SHARE OPTION PLAN








Rolls-Royce plc announces that on 28 March 2001 the Trustee of the Rolls-Royce
Employee Share Trust entered into agreements to acquire 31.6 million
Rolls-Royce shares at a price of £2.30 per share for the purpose of
satisfying, in due course, the exercise of options granted under the
Rolls-Royce 1999 Executive Share Option Plan.
