                           SHARESAVE OPTION SCHEME


Rolls-Royce plc announced today (2 November 2001) that on 31 October 2001
options to purchase Rolls-Royce shares were granted (following a 50 per cent
scaling down exercise) to Executive Directors under the rules of the
Rolls-Royce Sharesave Option Scheme 1997 at an option price of £1.08 per share
as follows: -
