ROC OIL COMPANY LIMITED ('ROC')

STOCK EXCHANGE RELEASE

NOTICE UNDER S630(3) OF THE CORPORATIONS ACT

This notice is issued under section 630(3) of the Corporations Act by ROC in relation to ROC's off-market takeover offer dated 13 August 2008 for all of the ordinary shares in Anzon Australia Limited (ACN 107 406 771) ('the Offer').

ROC gives notice that:

1.    ROC has freed the Offer from the Defeating Conditions contained in sections 10.8(c) and 10.8(d) of the replacement Bidder's Statement dated 7 August 2008 ('Bidder's Statement') (see section 650F notice lodged with the ASX on 8 September 2008).

2.    The following Defeating Conditions in section 10.8 of the Bidder's Statement have been satisfied:

a.    the Defeating Condition in section 10.8(a) that the scheme of arrangement to implement the merger with Anzon Energy Limited become effective (see section 630(4) notice lodged with the ASX on 8 September 2008);

b.    the Defeating Condition in section 10.8(b) relating to foreign investment approval (see section 630(4) notice lodged with the ASX on 14 August 2008).

3.    ROC's voting power in AZA is 68.89%.

Terms defined in the Bidder's Statement have the same meaning in this notice unless the context requires otherwise.
