Notification of Interests of Directors and Connected Persons

Under the terms of the Company's Restricted Share Plan put in place on the
Company's IPO in July 2000, 1,760,000 ordinary shares were made available to
Robert Walters and 640,000 to Giles Daubeney, both directors of the Company. The
vesting of these shares was conditional on each Director remaining employed with
the Company for three years after flotation. All conditions having now been
satisfied the shares have now vested.
