On 8 April 2002 RM plc received a letter dated 5 April 2002 from Schroder
Investment Management Limited, which stated that they have an interest in
9,766,154 shares of the Company, which are held in portfolios managed by them on
a discretionary basis for clients under investment management agreements.



Included in this figure are:



(i)                  30,000 shares registered or to be registered in the name of
a wholly owned subsidiary nominee company, Schroder Nominees Limited (Schroder
Nominees).



(ii)                4,561,109 shares held in (a) unit trust(s) operated and
managed by another wholly owned subsidiary, Schroder Unit Trusts Limited (SUTL)
and registered or to be registered in the name of Chase Nominees Limited.



(iii)               5,175,045 shares neither registered nor to be registered in
the name of Schroder Nominees or Chase Nominees Limited. The registration
details are shown below.

An affiliated company, Schroder Investment Management North America Inc (SIMNA
Inc), is managing a portfolio on a similar basis, holding a further 1,264,000
shares. This holding is registered or to be registered in the name of Chase
Nominees Limited.



Schroder Investment Management Limited, their subsidiary and affiliated company
are therefore interested in an overall aggregate of 11,030,154 shares,
representing some 11.687% of the total number of shares in issue, namely
94,380,883 shares.
