Directors' Notification of Dealing in Shares

RM plc - Directors' Dealings

RM plc has today been informed that on 26 May 2000 the following dealings in
shares of the company by Non Executive Directors took place.

1. Mike Fischer transferred 100,000 2p ordinary shares to Univ Old Members'
   Trust, a registered charity associated with University College, Oxford,
   and a further 1,500,000 2p ordinary shares to the Fischer Family Trust,
   a registered charity, and these no longer form part of his beneficial
   holding. He also exercised options over 75,000 2p ordinary shares at a
   price of 80.2p per share. His beneficial holding now stands at 7,382,190
   2p ordinary shares, which represents 7.92% of the issued share capital
   of the Company.

2. Michael O'Regan and spouse transferred 20,000 2p ordinary shares to
   Brookes University, a registered charity, and these shares no longer
   form part of his beneficial holding. A further 40,000 2p ordinary shares
   held in trust for the benefit of his daughter are no longer part of his
   beneficial holding following her reaching her 18th birthday. His
   beneficial holding now stands at 3,460,000 2p ordinary shares, which
   represents 3.71% of the issued share capital of the Company.

3. Sherry Coutu bought 3,479 2p ordinary shares at a price of 570.0p per
   share. Her beneficial holding now stands at 3,479 2p ordinary shares,
   which represents 0.004% of the issued share capital of the Company.
