Director Dealings

Today 15 December 1999, RM Employee Share Schemes Trustee Limited (as
Trustee of Research Machines Employee Share Ownership Plan) subscribed for
455,000 ordinary shares of 2p each in the Company. At the direction of the
Trustee, the shares were allotted and issued directly to employees, to
satisfy options under the RM plc 1994 Executive Share Option Scheme. As a
result of the allotment and issue, the following Directors became
absolutely entitled to the number of shares set out below pursuant to the
exercise of options at a price of 122p per share.

Subsequently each Director sold a total of 210,000 Ordinary 2p Shares at a
price of 795p per share.

Following these transactions the Director's beneficial holding in RM shares
remain unchanged at:
