RM plc has today been informed that on 14 February 2002 the following dealings
in shares of the Company by a Non-executive Director took place.



Mike Fischer and spouse transferred 780,000 2p ordinary shares to the Fischer
Family Trust, a registered charity, and these no longer form part of his
beneficial holding.



Following these dealings Mike Fischer's beneficial holding now stands at
4,272,190 2p ordinary shares and represents 4.53% of the issued share capital of
the Company.
