                          PDMR Share Options Exercise



On 19 January 2006 RM plc was notified that Russell Govan (person discharging
managerial responsibility as described in the 1 July Disclosure Rules) had
exercised and sold share options that were granted under the RM plc 2001
Executive Share Option Scheme.

Russell Govan on 19 January 2006 exercised options over 16,750 shares at an
exercise price of 73.5p per share and 53,301 shares at an exercise price of
78.5p and sold 70,051 shares at a price of 168p.  Following the transaction
Russell Govan's beneficial holding in the Company is unchanged at 122,639 shares
(representing approximately 0.134% of the Company's issued share capital).
