Caldwell Investments P.L.C. announces that it has successfully completed a
placing of 1,300,000 Ordinary Shares of 10p each ('Shares') at a placing price
of 10 pence per Share, which compares with a middle market price of 8.5 pence
per Share at the close of business on Tuesday 6th August 2002. The new
Shares are expected to be admitted to trading on Thursday 8th August, 2002.

In order to demonstrate their support for the Company the Directors have taken
up an aggregate of 650,000 Shares, (representing 4.71% of the existing issued
share capital of the Company). Stanley Wootliff, Chairman and Managing Director,
who previously held 2,105,026 Ordinary Shares (15.63% of the existing share
capital) has taken up 545,000 Shares, and following the Placing he holds
2,700,026 Shares (17.89% of the enlarged issued share capital). Mr J Hanford has
taken up 50,000 Shares and now holds 137,890 Shares (0.9%) and Mr J Posner has
taken up and now holds 50,000 Shares (0.3%).

The Placing has raised £130,000 before expenses which will provide additional
working capital for the Company and in particular enable the Company to finance
the further development of a new product.
