for the benefit of Rio Tinto group employees) transferred 97,013 Rio Tinto
ordinary shares on 2 June 2000, at a price of £10.30 per share, to Rio Tinto
Trustees Limited (a trustee company holding Rio Tinto shares under the company's
profit sharing scheme).

The number of shares held by The Rio Tinto Employee Share Ownership Trust now
totals 329,609.

The following directors of Rio Tinto plc, together with other Rio Tinto group
employees are interested in these shares by virtue of their status as potential
beneficiaries of the trust;
