BWD SECURITIES PLC - SHARE OPTIONS HELD BY DIRECTORS



Under the Group's Employee Share Ownership Plan (ESOP), the following awards
were allocated on 6 February 2002 to the directors detailed below:



M.H,Burns - An option over 12,500 ordinary shares of 10p in the Company at an
option price of  £nil per share, exerciseable between 8 April 2005 and 8 April
2012;



J.P.Wragg - An option over 7,500 ordinary shares of 10p in the Company at an
option price of  £nil per share, exerciseable between 8 April 2005 and 8 April
2012;



Under the Rules of the ESOP, exercise of the above options is normally subject
to the individual receiving the award remaining in the employment of the Group
until 8 April 2005.
