                             Director Shareholding


The Company was informed on 9 June, 2003 that the Trustee of the Radstone
Technology PLC Share Incentive Plan (the "Trust"), purchased 3,492 ordinary
shares of 12.5p each in the Company ("Ordinary Shares") at a price of £2.77 per
share on 6 June, 2003. Following this purchase the Trust now holds 95,487
Ordinary Shares, representing 0.4% of the issued ordinary share capital of the
Company.

All employees of the Company, including the executive directors, are potential
beneficiaries of the Trust.
