RTS Networks Group PLC ('RTS Networks' or 'the Company')

The Board confirms that discussions with interested parties continue which may
or may not lead to an offer for the issued share capital of the Company.


Trading conditions have been difficult in most markets with the result that the
Company's working capital position has worsened since the announcement of the
Company's interim results in October 2001, which was when the Company last
secured funds and announced that long term funding was still required.


The directors are still actively seeking further funding opportunities as such
funding is required in the very near term in order to secure the Company's
future.
