Resignation of Directors


Following the appointment of Administrative Receivers on 1 February 2002, the
remaining directors of the Company have indicated to the Company Secretary their
desire to resign from the Board. The letters of resignation were dated as
follows:


Eric Rothbarth               1 February 2002

John Atkin                   1 February 2002

David Ward-Perkins           4 February 2002

Bernard Fisher               4 February 2002


Following these resignations, Brown, Shipley & Co. Limited has notified the
Company that it has resigned as Nominated Adviser with immediate effect in
accordance with paragraph 34 of the AIM Rules.
