RTS NETWORKS GROUP PLC 

RTS Networks Group PLC ('Networks') has been notified by notices in writing
dated 12 September 2000, received from Robotic Technology Systems PLC ('RTS')
and Robotic Technology Systems Holdings Limited ('RTS Holdings'), that in
connection with a group reorganisation:

1. on 8 September 2000, RTS sold to its wholly owned subsidiary, RTS Holdings,
its beneficial interest in 31,391,600 ordinary shares of 1p each in the
capital of Networks; and

2. RTS Holdings is the beneficial owner of 31,391,600 ordinary shares in the
capital of Networks (representing approximately 34.65 per cent. of the issued
share capital) and that action is being taken to have the shares registered in
its own name.
