                    RTS NETWORKS GROUP PLC ('the Company')


By a notice in writing dated 18 October 2001 (received 22 October 2001) from
Universities Superannuation Scheme, Royal Liver Building, Liverpool L3 1PY
('USS'), the Company has been notified that by virtue of participating in the
placing announced on 19 October 2001, in respect of 2,400,000 ordinary shares
of 1p each, USS is now interested in 4,989,650 ordinary shares in the share
capital of the Company.

This represents a holding of 4.42 per cent. of the current issued share
capital, as enlarged by the placing.
