Reliance Security Group PLC 21 December 2004 21 December 2004 For immediate release Reliance Security Group plc ('Reliance' or 'the Company') Disposal of investment in Safe Estates Services Limited ('Safe Estates') The Directors of Reliance announce that the Company has sold its investment in Safe Estates, which principally secures domestic void properties. The cash consideration, net of expenses, is approximately £7.3 million, which has been received in full. The proceeds will be placed on deposit. The consideration is subject to adjustment, based on completion accounts, but such adjustment is not expected to be material. The transaction will crystallise an estimated exceptional, pre-tax profit of approximately £4.3 million for Reliance. No tax will be payable on the disposal. Reliance has accounted for Safe Estates as an associated undertaking and has consolidated pre-tax profits of £1.4 million in respect of its share of Safe Estates' results in the year to 30 April 2004 (pre-tax profits of £1.4 million in the six months to 29 October 2004, unaudited). The carrying value of the investment in Safe Estates at 30 April 2004 was £1.7 million (29 October 2004 £2.7 million, unaudited). Commenting on the disposal, Brian Kingham, Chairman, said: 'In July 2000 we invested £400,000 in cash to acquire our stake in Safe Estates. The investment has been very successful and we have enjoyed an excellent return. However, the activities of Safe Estates are tangential to the principal activities of the Reliance Group and the board of Reliance has concluded that the Group's managerial and financial resources are best deployed in exploiting fully the significant opportunities in Reliance's core businesses.
