        RENTOKIL INITIAL plc ('RENTOKIL INITIAL')

Following  the offer made by Rentokil Initial  for  Ratin
A/S  ('Ratin') becoming unconditional on 30th  May  2000,
Rentokil  Initial  gives notice in  accordance  with  the
Companies  Act 1985 that it has acquired an  interest  in
the  919,088,614 ordinary shares of 1p each  in  Rentokil
Initial held by Ratin, which currently represent 38.2 per
cent of the issued share capital of Rentokil Initial  but
which will be cancelled.
