                  RENTOKIL INITIAL plc

As  part  of  its  ongoing  share re-purchase  programme,
Rentokil  Initial  has posted a Circular  and  Notice  of
Extraordinary General Meeting of shareholders, to approve
a new authority to make further market purchases of up to
15 per cent of its own shares.  The extraordinary general
meeting will be held at 9.45 a.m. on 9th May 2000,  prior
to the company's annual general meeting.
