Disposal of US Plant Hire Business Complete

  COMPLETION OF THE DISPOSAL OF US PLANT HIRE BUSINESS

On  20th  April  2000 Rentokil Initial announced  it  had
entered  into  an  agreement to sell its  US  plant  hire
business  to Ashtead Group plc for £320 million,  subject
to   Ashtead's   shareholder  approval   and   regulatory
clearances.

Rentokil  Initial  announces that, all conditions  having
been satisfied, the disposal has now been completed.
