Renishaw plc announces that Mr Terry Garthwaite, a director, today notified it
that he has transferred 3,000 ordinary shares in the Company to his wife, Mrs
Tonina Garthwaite, for nil consideration, on 4th April 2005.

There has been no change in his interest as a director and Mr Garthwaite
therefore continues to hold an interest of 3,000 ordinary shares in the Company.
