                                  ANNOUNCEMENT

Resolutions at AGM held on 29 July 2004 and Director's Service Contracts

All of the resolutions placed before shareholders at the Annual General Meeting
held on 29 July 2004 were passed by shareholders.

In addition, it has been agreed that with effect from 29 July 2004, Mr M C E
Averill's and Mr D J Downes' rolling service contracts requiring two year's
notice from the Company be reduced, without any compensation, to one year's
notice.


Copies of the resolutions passed at the Annual General Meeting (other than those
resolutions concerning ordinary business) have been submitted to the UKLA and
will shortly be available for inspection at the UKLA's Document Viewing
