SUBSTANTIAL/DIRECTOR'S SHAREHOLDING


Further to the announcement of 6 November 2000 regarding the Waring family
shareholding in Northgate plc, the Company has now been advised that, as part
of the reorganisation process, Zatto Group S.A. has been the subject of a
voluntary liquidation and as a result has, with effect from 24 November 2000,
ceased to have an interest in 3 per cent. or more of the issued ordinary share
capital of Northgate plc.


A further announcement will be made on completion of the reorganisation
process.
