Red Rock Resources plc 30 August 2007 RED ROCK RESOURCES PLC Notice of Extraordinary General Meeting Dated: 30 August 2007 Red Rock Resources plc ('Red Rock' or the 'Company') the mineral exploration and development company focused on advancing iron ore, uranium and manganese projects in Australia and East/Southern Africa, notified shareholders on 17 August 2007 that it was calling an Extraordinary General Meeting ('EGM') for 14 September 2007. The purpose of the EGM is to put before shareholders resolutions inter alia to authorise the directors to allot securities as defined in section 80 of the Companies Act 1985 (the 'Act'), and to disapply the pre-emption provisions of section 89(1) of the Act so as to permit, inter alia, placements of shares for cash. The authorities held by the directors under these sections expired on 12 May 2007, and consequently in order to ratify the share placements of 18,833,332 new shares in the Company on 18 June 2007 and of 10,000,000 new shares in the Company on 2 July 2007 it is now necessary to call an EGM and put resolutions to approve and ratify the actions taken by directors to shareholders. A further resolution to authorise the issue of options will also be put to shareholders. Irrevocable undertakings or Proxy Forms to vote in favour of all the resolutions have been received from shareholders of Red Rock holding 118,587,500 ordinary shares in the capital of the Company representing 50.4% of the issued share capital of the Company.
