Transaction in Own Shares and Total Voting Rights 

Reconstruction Capital II Limited (the "Company") announces that on 3 May 2016 it acquired 8,063,233 of its ordinary shares of EUR0.01 each ("Shares") for cancellation.

The  price paid by the Company was EUR0.21 per Share.

Following the completion of the above transactions the Company will have 91,936,767 Shares in issue with voting rights. This number represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
